Interim Managing Director and CFO Colm Cloonan resigned immediately as a director, and will advise on transition. Ian Campbell becomes Executive Chairman while a CEO is recruited. The registered office is planned to move from Brisbane to Sydney.
Operational update: Lesedi 4 gas feeds Kala, while Lesedi 6 gas is flared. Water in both wells may be linked to an underlying sandstone, so significant drilling is held back pending study. Substation needs about three months and roughly US$600,000 to finish.
Chairman's letter to shareholders acknowledges frustration and repeats the 25 June update: gas is flowing, water ingress from a possible sandstone link is being studied, and the substation is about 90% complete. Funding is the main near-term aim. No new results.
Half-year to 31 December 2025 shows a A$60.5m loss, including a A$58.6m impairment of exploration assets tied to a decision to focus on core Lesedi assets. Excluding impairment the loss was A$1.9m. Further development depends on new funding.
The Kala Data Centre was commissioned and began generating initial revenue from Lesedi 4 gas, the first commercial use of Tlou's coalbed methane in Botswana, though only at modest proof-of-concept scale. Substation completion and grid connection for power sales were still outstanding and subject to funding.
After ASX queries, directors say the company is solvent, relying on continued near-term funding support from largest shareholder ILC (controlled by Chairman Ian Campbell). It is also discussing funding with others and progressing an equity raising, after the 0.3-quarter funding figure.
Non-Executive Director Dr Allan Sullivan resigns from 1 January 2026 for personal reasons, having joined the board in March 2025. He is open to advisory work. The company intends to appoint a replacement in due course.
The Kala data centre generator has reached Botswana after shipping delays and is being trucked to Lesedi. Revenue is expected almost immediately once it is installed and commissioned, which would be the first monetisation of coalbed methane in Botswana. Earlier text referred to two generators.
Appendix 4G corporate governance checklist lodged with the annual report, pointing to the governance statement on pages 67 to 79. Administrative filing with no new information.
Annual report for year to 30 June 2025. The Chairman describes the move toward first revenue from the Kala data centre and notes early work on solar. Only the front section was provided, so no financial figures can be reported.
Kala data centre site works and gas gathering line are complete and the first module is installed. Revenue is expected shortly after two gas generators, still in transit, arrive and are commissioned. This slips the earlier August/September target for first electricity.
Onalenna Martin Gabobake, nominated by major shareholder BPOPF, joins the board as a Non-Executive Director. Hugh Swire and Martin McIver retire from the board, and Wedu Mbayi replaces Colm Cloonan as Company Secretary.
Tlou explained to ASX that the Appendix 3Z for departed MD Tony Gilby was lodged late, on 11 June instead of by 30 May, because the company secretary wrongly believed it had 28 days. No change to Gilby's holdings; internal process to be reviewed.
Kala data centre at Lesedi is progressing: first electricity to Kala is expected Aug/Sept 2025 using Lesedi 4 and 6 gas, though those wells have not reached expected flows. One 1MW container is paid for, with delivery mid-August; site works have started.
Managing Director and CEO Tony Gilby, who led Tlou for about a decade, stepped down immediately for personal reasons and will advise. Finance Director Colm Cloonan is Interim Managing Director while a permanent replacement is sought.
Answering an ASX query about the share price moving from A$0.008 to A$0.041 on higher volume, Tlou says it knows of no undisclosed information. It points to low trading volumes and possible earlier selling after the AIM exit having run its course.

Dr Ian Campbell, whose ILC Investments is the largest shareholder and lender, becomes Non-Executive Chairman, replacing Martin McIver, who stays as a director. Allan Sullivan joins the board. Company Secretary Solomon Rowland resigned; Colm Cloonan takes over the role.
Binding agreement with Kala Data (the earlier unnamed developer) for a data centre at Lesedi. Kala funds wells and equipment via an interest-free loan; Tlou gets 25% of profits until repaid, then 50/50. Kala has five-year exclusivity. The 10MW BPC project is unchanged.
Half-year accounts to 31 Dec 2024 show a loss of A$3.77m (A$1.82m a year earlier). No revenue yet. Lesedi PL035/037 renewals were lodged in Dec 2024 (expiry Mar 2025); focus remains dewatering and coal fines at two pods. Text is truncated, so little else is available.
Signed a non-binding Heads of Agreement with an unnamed data centre developer to build a computing facility at Lesedi, powered by Tlou gas. A proof-of-concept using Lesedi 4 gas worked; the developer would fund more wells, but no binding deal or funding is yet secured.
Chairman's AGM address repeats known progress: 100km line virtually complete, substation over 90% done, generator talks with 6-8 week lead time, and work to stabilise Lesedi 4 gas. Expects grid connection and first power sales in the next 12 months. No new facts.
Shareholders approved the AIM delisting. The last AIM trading day is expected to be 30 Dec 2024, with cancellation at 7am UK time on 31 Dec. ASX remains the primary trading venue, with the BSE listing continuing. Chairman's address repeated.
Cover note saying the 22 November substation announcement has been re-issued with the disclosures required by ASX Listing Rules 5.26.3 and 5.43.2. No new substance.
Re-release of the 22 Nov substation update with added ASX reserves disclosure; it adds a 1P reserve of 0.35 BCF alongside 2P 40.8 BCF and 3P 426.6 BCF. Otherwise the project status is unchanged.
The 5MVA transformer arrived at Lesedi on 20 Nov and the substation is over 90% complete, with completion expected before year end. Gas flow still surges because of coal fines; first power remains mid-2025, subject to funding and generator agreement.
Discloses that the Feb 2024 A$1m ILC BC loan (A$480k drawn, 10%) was a related-party deal that should have been announced under AIM rules but was missed. The facility has now been extended to A$5m on the same terms; directors call it fair.
September quarter: substation ~85% done, but gas flow from Lesedi 4 and 6 fluctuates because coal fines jam pumps. First power now expected mid-2025, up to a year later than earlier guidance of 'later this year'. Dr Ian Campbell indicated willingness to provide funding.
