Firm commitments for an A$5.4m placement of about 180m shares at 3c, a 14% discount to last trade, well below November's 6.5c. Talent 10, linked to director Mgojo, takes A$3m (100m shares), subject to shareholder approval. Funds go to Phase 1 CNG, exploration drilling, permitting and a new CEO.
What it means for a shareholder
180m new shares at A$0.030 to raise about A$5.4m. That's 31% dilution: every existing holder's slice gets 31% smaller. If you held A$1,000 of shares (33,333 at the issue price), your slice goes from 0.00817% to 0.00567% of the company. To keep it you'd need 14,703 more shares - about A$441 at the issue price.
July 2026 presentation restating the producer transition: Phase 1 connects four existing Brakfontein wells to a modular CNG facility, with first gas targeted for late 2027. It repeats known figures (6.0 Tcf 2C, 6.4 BCF 2P, FFS JDA) and names Cresco as project finance adviser.
Kinetiko adopts its Field Development Plan for Phase 1 of the Brakfontein cluster, the basis for the Rolling Cluster strategy announced in April. It now begins applications for a Bulk Sampling Permit and a Production Right over ER271, and says the plan helps access to partner funding and project debt.
March quarter: recaps the Rolling Cluster strategy, with PASA and NERSA regulatory filings targeted April-May 2026 and compressor procurement planned May-August. Available funds were about A$1.375m (A$1.08m cash), no debt, down from A$2.35m at December.
Kinetiko announces a Rolling Cluster Development Strategy, starting with a compressed natural gas (CNG) cluster at Brakfontein using existing wells, then scaling to full-field LNG. First gas revenue is targeted for Q2/Q3 2027. The 6.0 Tcf 2C resource is unchanged; a field development plan is still being finalised.
Half-year to 31 December 2025: operating loss of A$2.60m, down from A$3.84m a year earlier. The report recaps extended testing at PT06 and PT10, the FFS JDA, tenure renewals, OTCQB listing and the capital raise. Balance sheet not visible in the extract.
December quarter: restates the PT06/PT10 extended test results, the FFS JDA and first tranche, and the OTCQB listing. Available funds were about A$2.35m (A$1.96m cash, A$247k IDC vehicle, A$146k FFS advance), no debt, lifted by the November raise.
Kinetiko's shares began trading on the US OTCQB market on 23 December 2025 under ticker KKOBF, alongside its ASX listing. The company says this widens access for North American investors and adds no new reporting requirements.

Firm commitments for a A$3.15m placement of 48.5m shares at 6.5c, a 9.7% discount to last trade, cornerstoned by Talent 10 (linked to new director Mgojo). Up to A$1m from director-related parties needs approval at the 28 November AGM. Funds go mainly to Phase 1a drilling.
What it means for a shareholder
48.5m new shares at A$0.065 to raise about A$3.1m. That's 11% dilution: every existing holder's slice gets 11% smaller. If you held A$1,000 of shares (15,385 at the issue price), your slice goes from 0.00377% to 0.00337% of the company. To keep it you'd need 1,828 more shares - about A$119 at the issue price.
FFS advanced the first tranche of R6.2m (about A$546k) under the JDA, part of its R28.66m (about A$2.5m) Phase 1a commitment. Kinetiko funds the first R20m at 67.5% and the remainder 50/50. This starts the cash flow promised in the JDA.
September quarter: recaps PT06 and PT10 results, ER renewals, the FFS JDA and Mgojo's appointment. Available funds were about A$678k (A$440k cash, A$238k in the IDC vehicle), no debt, down from A$1.88m at June.
Extended testing: PT10 shows no discernible decline after 40 days (average 91 Mscfd, 3,522 Mscf); PT06 started declining but plateaued after 27 days (average 164 Mscfd, 4,432 Mscf). Both are well above Sproule's 50 Mscfd threshold. Testing continues for depletion curves.
The 10 October Brakfontein site visit drew over 100 guests, including Minister Mantashe and Deputy Minister Mgcina, with a live gas flaring demonstration. Regulator representatives indicated ongoing support. It is a showcase with no new results or approvals.
Binding Joint Development Agreement signed with FFS Refiners, executed 10 October 2025, turning the 1 July non-binding term sheet into a firm deal. Phase 1a is about R64.3m (A$5.7m) for five new wells, upgrades, reserve certification and a production right; later phases target a 5,000 tpa LNG plant.
Notice and slides for a 10 October 2025 site visit by South African government dignitaries to the Brakfontein test wells, hosted by the chairman and most of the board. The slides repeat known facts (6.0 Tcf 2C, 6.4 BCF 2P, pilot plant construction 2026).
PT06 flowed up to 188 Mscfd (average 162 Mscfd) after 14 days of continuous testing, about 98.5% methane, more than double PT10's rate and well above the 50 Mscfd economic threshold. Testing of both wells continues to establish depletion curves.
Mxolisi Mgojo, former CEO of Exxaro Resources, was appointed non-executive director effective 3 October 2025 on $60,000 a year excluding superannuation. He is a director of Talent10 Holdings Group, one of Kinetiko's largest shareholders.
Annual report for the year to 30 June 2025. The chairman calls it a technical turning point, citing the optimised drilling fix and PT06's 1,600 Mscfd peak flow. Outlook is for more rigs and a production test program in FY2026. Financial figures are not visible in the extract.
PT10 flowed 92 Mscfd after 16 days of continuous testing, about 99% methane, versus the 50 Mscfd the 2023 Sproule reserve assessment treated as commercially viable. Flow testing at PT06 has started, with results expected in October.
Well 271-KA03PT06 reached 405m with a record peak choke-test flow of 1,600 Mscfd, over 3x the best historical test (500 Mscfd, 2013) and 4x PT10. Company suggests earlier wells may be sub-optimal and could be remediated. Stabilised flows still to come.
Exploration rights ER270, ER271 and ER272 renewed for a further 2 years each. This resolves the open renewal question; total exploration landholding including ER383 is stated as 5,366 km2. Drilling at PT06 is nearing final depth.
Fourth test well, 271-KA03PT06, spudded at Brakfontein using the same optimised drilling methods that worked at PT10. First flow results are expected mid-September 2025. Pilot LNG plant still targeted for late 2026; nothing new beyond the spud.
Third test well 271-KA03PT10 reached 417m with 144m net pay and a peak choke-test flow of 370 Mscfd. First well using the optimised methods, after the first two underperformed. Extended testing continues; rig moves to the next well.
June quarter: available funds about A$1.88m (A$1.64m cash, A$247k in the IDC vehicle), no debt, up from A$441k after the A$2.2m June placement. Third test well is drilling; the FFS binding agreement is now expected in August, later than the earlier ~20 July target.
Drilling of third test well 271-KA03PT10 continues with the optimised approach (no high-viscosity foam). Drilling to depth is expected within three weeks, with first gas flow results now expected in August 2025, later than the earlier 'before July'. Pilot LNG plant targeted late 2026.
