Zion extended warrant ZNWAA by five years, from Jan 31, 2026 to Jan 31, 2031, a much longer extension than the one-year steps used in recent years. Warrant holders keep their right to buy shares for longer, and any exercise would add shares.

This is a corrected re-filing of the November 12, 2024 report on extending warrant ZNWAA from Jan 31, 2025 to Jan 31, 2026. The only change is that the exhibit had a wrong CUSIP number, now given as 989696-141. No new terms.

Zion extended the expiry of its ZNWAA warrant (traded as ZNOGW) by one year, from January 31, 2024 to January 31, 2025. It signed the amendment on January 10, 2024 with Equiniti Trust Company as warrant agent.

Zion extended warrants ZNWAA (to Jan 31, 2024) and ZNWAG (to Jan 8, 2024) by one year each, and cut the exercise price of ZNWAG from $1.00 to $0.25. The lower price makes ZNWAG cheaper to exercise, which would bring in less money per share if exercised (an inference on the effect; the filing states only the price cut).

Zion extended three more warrant series by one year each: ZNWAM to July 15, 2023, ZNWAP to June 3, 2023 and ZNWAR to June 23, 2023. Another in the run of company-chosen warrant extensions, which keeps these warrants alive longer.

Zion extended the expiry of ten series of warrants by two years each (for example ZNWAA from Jan 31, 2021 to Jan 31, 2023, and ZNWAL from Aug 26, 2021 to Aug 26, 2023), using its own discretion under the warrant agent agreements with AST. This continues the earlier practice of extending warrants, keeps the potential for new shares outstanding for longer, and the shares now trade on the OTCQX as ZNOG.

Zion told Nasdaq it is delisting its shares and moving trading to the OTCQX, rather than doing a reverse stock split to meet the $1.00 minimum bid price (Nasdaq had given it until September 8, 2020). The company says Covid-19 shutdowns in the US, Europe and Israel have delayed its operations, including drilling plans. This resolves the Nasdaq delisting thread from January 2020: the stock leaves Nasdaq voluntarily and the company says it will keep meeting its SEC reporting obligations.

18 Mar 2020asset acquisition disposition▲ GoodMajor

Zion bought an onshore drilling rig, drill pipe and related equipment from Central European Drilling kft (Hungary) for $5.6 million in cash, subject to acceptance testing and possible downward adjustment. A $250,000 deposit was paid Feb 6, 2020, then $4.35 million went to the seller and $1 million into escrow with AST until July 10, 2020, pending any finding of operating deficiencies. The rig is stored in Romania and must be imported into Israel, and Zion says Coronavirus restrictions make the timing impossible to estimate. This gives Zion its own rig, following the earlier arrangement with DAFORA.

Nasdaq staff said on Jan 7, 2020 that Zion still hadn't met the $1.00 minimum bid and decided to delist its stock and warrants effective Jan 16, 2020. Zion will request a hearing, which keeps the securities listed and trading during the process. Zion says it will present its exploration plans, including sourcing a drilling rig, to avoid a reverse split. If the Panel rejects the plan, trading could move to the OTC markets.

Nasdaq approved moving Zion's stock to the Nasdaq Capital Market effective July 11, 2019, still under the symbol ZN. This gives Zion until Jan 6, 2020 to get the bid price to $1.00 for 10 consecutive days. Zion told Nasdaq it would do a reverse stock split if necessary, and the stock faces delisting if it does not comply.

Zion extended eight warrant series (ZNWAA, D, E, F, H, I, J, K) by one more year each, now expiring between Jan and Oct 2021. This continues the December 2018 extension and adds more series. It gives holders more time to exercise; the filing does not state the effect on share count.

Nasdaq told Zion on Jan 8, 2019 that its stock had closed below the $1.00 minimum bid for 30 straight trading days. Zion has until July 8, 2019 to get back above $1 for 10 consecutive days, with no immediate effect on trading. A move to the Nasdaq Capital Market and a further 180 days is possible, and a reverse split may be needed.

Israel's Petroleum Commissioner approved Zion's extension request: License 401 now runs to Dec 2, 2017, and the deadline to start drilling Megiddo-Jezreel #1 moves to June 30, 2017. This resolves the open question about the license ending Dec 2, 2016. Zion also awarded the drill site construction contract to Y. Bazelet & Aggregatim LTD, with work to begin in December.

7 Oct 2016material agreement▲ GoodMajor

Zion signed a drilling agreement with S.C. Daflog S.R.L. (the Israeli branch of Romanian driller DAFORA) for its F-400 rig, covering the planned 15,000 ft Megiddo-Jezreel #1 well plus up to two optional wells. Rig commissioning costs $384,000 or $319,000 depending on set-up, and the operating day rate is $23,340. This replaces the earlier Viking rig and unnamed US drilling-partner discussions as the rig plan in the record. Zion also received the executed Israel Land Authority agreement on Sept 25, 2016 for the 3.18-acre drill site, with site construction expected to take 45 to 60 days. Drilling still depends on government permits and on raising more capital, including through the bond offering.

Zion extended its 12% convertible bond offering again, from September 1 to November 1, 2016, with the offering terminated and refunded if at least $2.5 million is not received by October 31, 2016; maturity moves to December 2, 2028. The filing also adds state securities-law wording; it does not say how much has been raised so far.

23 June 2016material agreement● NeutralMajor

Zion replaced the earlier 10% bond offering with a new 12% Convertible Senior Bond offering (minimum $2.5 million, maximum $12 million, maturing in 2028) placed on a best-efforts basis by Network 1 Financial Securities, with the closing date moved to September 1, 2016. It also announced a non-binding agreement-in-principle with an unnamed US oilfield services company to form a 50/50 drilling-rig subsidiary, with Zion contributing an equal value of its own shares; the filing says no assurance legally binding agreements will be reached. Compared with the earlier Viking rig plan, this points to a different rig partner (inference: the Viking arrangement is no longer the stated path, though the filing does not say so).

Zion extended its 10% convertible bond rights offering from January 15 to March 31, 2016, pushing bond issuance from February 15 to May 2, 2016 and maturity to May 2, 2021; the company says shareholders holding through brokers complained of late offering materials. The press release also says Israel's Northern District Committee unanimously approved the drilling request and environmental assessment for the first well, with drilling of Megiddo-Jezreel #1 planned for March-April 2016 (a further slip from the earlier 2015 timing), and describes Megiddo-Jezreel as its one active license.

Zion began drilling-contract negotiations (June 26, 2015) with Viking and its Israeli subsidiary to use Rig I-35 for the Megiddo-Jezreel #1 well, once definitive agreements are signed and full regulatory approval is granted. The expected first-well start has moved from the second half of 2015 to the 4th quarter of 2015 or 1st quarter of 2016; the press release calls Victor Carrillo the 'newly named CEO' (he signs as CEO), and says the drilling prospect report will soon go to Israel's Petroleum Commissioner.

Zion signed a non-final memorandum of understanding with Viking Services BV (Netherlands) for a rig and crew to drill two wells (option for a third) over two years on its Megiddo-Jezreel License, with the first well expected in the second half of 2015, subject to full Israeli regulatory approval. It also floats a possible jointly formed 'Zion Drilling, Inc.' to lease and perhaps own a rig after the primary term; this echoes the earlier Lapidoth rig-company idea but with a different partner.

This is an administrative change in who keeps the shareholder records; the filing states no effect on the company's finances or exploration.
