History
A dormant shell turned uranium, then oil and gas explorer, lost its Tunisian and California bets, won a US$33m judgment it struggled to collect, and by mid-2026 rested on Queensland's Diona gas well.
2006-2009: From shell to uranium explorer
Xstate began as a dormant shell. In June 2006 it planned a $240,000 placement of 6,000,000 shares at 4 cents. In July it signed a joint venture with Liberty Star over Arizona uranium leases, under which it could earn 50% by committing US$2.9 million. A prospectus raised the $6.0 million maximum at 20 cents a share, closing oversubscribed in November 2006, and the venture began in December.
The first holes, in April 2007, found no breccia pipe material (the targeted rock formations), and surveys found no conductors. A bid to buy Zeus Resources, with Western Australian uranium and gold tenements, was agreed in June 2007 and dropped within days. In September 2008 the venture confirmed Xstate had earned its 50%, and US$1.035 million was released to it. The half-year loss to June 2008 was $2.9 million, mostly a write-down of capitalised exploration spending. The record for 2009 is quiet.
2010-2013: Tunisian wells and a Californian pivot
In 2010 Xstate bought Bombora Energy, which was earning 10% interests in Tunisian and Italian permits, alongside a 1-for-3 consolidation and a recompliance raising. Lambouka-1, drilled that July, found water in its first target but at least two hydrocarbon zones in the deeper Abiod, and operator ADX estimated a mean 309 bcf of sales gas. A $3.0m entitlement issue at 10 cents drew about two-thirds of the shares offered, with the shortfall placed by the underwriter. A December 2010 attempt by holders of about 10.82% to remove Chairman John Begg ended in February 2011 when David Whitby became Chairman and the requisition was withdrawn.
After delays, Sidi Dhaher-1 was drilled in 2011 and found an interpreted oil column of about 30m. Raisings fell from 12.5 cents to 6.3 cents. The June 2012 flow test recovered no hydrocarbons and the well was abandoned. Xstate sold its Tunisian and Italian interests to Gulfsands for about US$890,000, completed in June 2013.
A planned Indonesian purchase, Blue Sky Langsa, was dropped in March 2013. Xstate instead took 16.667% of West Brentwood, California, where the well found no productive reservoir, and bought 10% of seven Sacramento Basin gas wells. Late 2013 brought an alliance with Australian Oil Company, the departure of managing director Gary Jeffery, and a deal for Bombora, cut back in December to 75.90%. Placements at 3 cents and 5 cents followed.
2014-2016: Small raisings and failed deals
A farm-in by Northern Gulf Petroleum to fund the Dempsey and Alvares wells collapsed within 19 days in October 2014. In December Xstate took 18% of the Cal LNG venture. In February 2015 holders of 5.42% requisitioned a meeting to remove all directors. A share purchase plan at $0.003 raised $164,798 in 2015, expanding shares by roughly 30%.
In early 2016 cash fell to $38,000 and ASX queried it. The Sunset Exploration deal was signed in April and abandoned in May. A $3.0m placement of 300 million shares at 1.0c followed in June, taking shares to 621.8 million at year end. Cosimo Damiano became Managing Director.
2017-2019: The unpaid $25 million
In December 2016 Xstate signed up four Asian investors to place about 658m shares at 3.8c for $25m, mainly to buy 24.5% of the Sansinena and East Los Angeles oil fields for US$13m. The money did not arrive. Xstate said in February 2017 that A$19.3m had been remitted, but in March said none had been received. The vendor terminated the deal in April, and the US$625,000 deposit was lost. In December 2017 the WA Supreme Court ordered three defendants to pay US$33,187,960 plus interest and costs. By March 2019 only A$500,000 had been agreed from one defendant, and Tanzil recovery was on hold.
Dempsey 1-15 spudded in August 2017 and flowed 1,000 Mcf/day of gas from the Kione sandstone by May 2018. A sale of Dempsey to Raven defaulted in November 2018, so Xstate kept its 10%. Small placements at 0.3c and 0.2c funded the Alvares work. A Texas farm-in with Mosman was ended in August 2019 with a break fee of about A$50,000. In November 2019 Damiano and Tchacos resigned and David McArthur became interim managing director.
2020-2024: Canada, Austria and the shrinking base
Andrew Childs joined the board in April 2020. Funding came from convertible notes of $562,000 and placements, and shares reached 2.69 billion by 2021. Xstate bought Red Earth oil fields in Alberta in stages to 25%, and bought into Alberta Plains. A $4m placement at 0.8c in February 2021 funded Borba 1-7, which found gas and flowed 1.6 million cubic feet a day, but a pipeline restriction delayed sales.
In November 2021 it took 20% of ADX's Anshof prospect in Austria. Anshof-3 was confirmed as a discovery in January 2022, began production in October 2022 at 100 bopd gross, and RISC put its 20% share of 2P reserves at 1.04 million barrels. A 10-for-1 consolidation was proposed in February 2023. Xstate sold Alberta Plains in 2023, declined to join Anshof-2 in November, and sold Red Earth for US$2.73m, completed in July 2024. It had not acquired a new asset by ASX's 26 August 2024 deadline, and its shares were suspended.
2025-2026: Diona
In February 2025 Xstate sold Crest Jinn for a royalty. In April it agreed to buy 51% of the Diona Gas Project in Queensland from Elixir and sole-fund the Diona-1 well, and Andrew Bald became Managing Director. In June ADX took the Anshof interest against unpaid cash calls. After a 2.23:1 consolidation, a re-compliance raising of 107.2 million shares at $0.02 brought $2.14m, and shares resumed trading on 16 September 2025. Greg Channon, also Elixir's Chief Geoscientist, became Chairman.
Diona-1 spudded on 27 September 2025. The Showgrounds target was dry, but a 181m gas-bearing Permian section was found, with 23m of net pay. Xstate's internal estimate lifted prospective resource to a mean 100.5 Bscfe net, not yet reviewed by the joint venture. A $3.82m raising at $0.022 followed, and California assets were assigned away in December.
Testing slipped through 2026. A $1.69m placement at $0.033 came in April. In May the well flowed gas and condensate, and the JV said its exploration objectives were met, with reservoir pressure about 4,300 psi. About 45-46% of roughly 6,400 barrels of fluid was recovered, short of the 50-60% target, and testing paused. Artificial lift was under review. As of 31 July 2026, Xstate held 51% of Diona, had cash of A$1.248m at 30 June, and needed funding for a workover.
