Vista agreed to sell 15.6 million common shares at US$2.50 each, raising about US$39 million, with CIBC as sole bookrunner. It planned to use the proceeds for exploration and development at the Mt. Todd gold project and for general corporate purposes.
Vista released a re-sized 15,000-tonne-per-day feasibility study for Mt Todd, cutting initial capital 59% to $425 million versus the 2024 study. It showed an after-tax NPV5% of $1.1 billion and IRR of 27.8% at $2,500 gold, by prioritizing higher grade ore, contract mining and third-party power.
Vista entered into an at-the-market offering agreement with H.C. Wainwright on November 8, 2024, allowing it to sell up to US$8.0 million of common shares at its discretion, with no sales in Canada.
An updated feasibility study showed Mt Todd's value held up despite rising construction costs (initial capital up $138 million) and the new Wheaton royalty, with after-tax NPV actually improving slightly to $1.13 billion.
Vista received the second, $7 million installment of the Wheaton royalty financing after granting Wheaton a security interest (a mortgage) over its Mt Todd mineral rights.
John Rozelle, former Senior Vice President, became an independent contractor from January 1, 2024 for one year at $225 per hour. He would receive a $360,000 success payment if Vista signed a binding change-of-control agreement before July 1, 2024.
Vista's Australian subsidiary granted Wheaton Precious Metals a royalty of 1% of gross revenue from Mt Todd in return for US$20 million, paid in three installments. The royalty could rise to a maximum of 2% if completion objectives were not met by April 2028, and the deal needed Australian FIRB approval.
Vista's Mt Todd land agreement with the Northern Territory government was extended again, this time to the end of 2029 with an option for three more years, giving the project a much longer runway to reach a development decision.
Vista's first full feasibility study (rather than a preliminary one) for Mt Todd lifted reserves 19% to nearly 7 million ounces and outlined a 16-year mine, with an after-tax NPV of $1.5 billion at $1,800 gold.
Vista renegotiated its founding 2006 land agreement with the Jawoyn Association, the traditional owners at Mt Todd: instead of an option to become a 10% joint-venture partner in the mine, the Jawoyn now get a straightforward royalty on revenue, simplifying Vista's path to developing the project while adding new commitments on training, employment and contracting for the Jawoyn people.
Vista renewed its at-the-market share sale facility with H.C. Wainwright ahead of its prior shelf registration expiring, keeping its flexible fundraising option open.
An independent review by GR Engineering confirmed Vista's cost and schedule assumptions for the 2019 Mt Todd feasibility study were reasonable, adding outside validation to the numbers.
Vista furnished to the SEC, as Exhibit 99.1, the NI 43-101 technical report for the 50,000 tpd Mt Todd preliminary feasibility study, which it had filed in Canada on October 7, 2019 with an effective date of September 10, 2019.
Filed the NI 43-101 technical report behind the September 2019 preliminary feasibility study for Mt Todd - a 50,000 tonne-a-day open pit with 91.9% life-of-mine gold recovery, a US$823 million net present value and a 23.4% return at US$1,350 gold. Vista said it would not take on the debt and dilution of building the mine alone and was looking for a development partner.
An updated feasibility study lifted Mt Todd's projected after-tax value to $823 million (up from $679 million in 2018) on improved gold recovery, while reserves held steady at 5.85 million ounces.
More crushing and sorting tests on higher-grade Mt Todd ore samples confirmed the process improvements work even better on richer material, and Vista set a schedule to update its feasibility study by mid-2019.
Vista filed the NI 43-101 technical report for its Mt Todd preliminary feasibility study, announced January 24, 2018. The report covers a 50,000 tonne per day base case and a 33,000 tpd alternate case, at US$1,300 gold.
Vista's updated preliminary feasibility study for Mt Todd showed an after-tax NPV5% of $679 million and 20.5% IRR at $1,300 gold, with reserves of 5.85 million ounces, down 0.9% from the 2013 study. Sorting and grinding changes were said to cut costs and raise recovery.
Further metallurgical testing showed Vista's ore-sorting and grinding redesign would boost Mt Todd's gold recovery to about 86%, and the company guided to an updated feasibility study in early 2018.
Vista set up a US$10 million at-the-market share sale facility with H.C. Wainwright, giving it a flexible way to raise cash gradually rather than through one-off placements.
Vista optioned Guadalupe de los Reyes to Minera Alamos, which can now earn 100% of the Mexican project for US$6 million plus royalties - a bigger deal than the 2014 Cangold option it replaces.
Test-sorting of ore samples confirmed Vista could cheaply reject 8-10% of Mt Todd's waste rock before grinding, and the company began updating its feasibility study to incorporate the technology.
