History
Seabridge turned a bought-back Canadian project into KSM, a giant gold-copper resource, permitted it and funded it with shares and royalties, but has never built a mine.
2006-2008: Buying back Kerr-Sulphurets
In April 2006 Seabridge agreed to buy the Noche Buena gold project in Mexico from Hecla Mining for US$4,350,000 in cash. It raised C$8.44 million by placing 875,000 shares at C$9.65; insiders took 205,000 of them, 161,500 through Pan Atlantic, the vehicle of Albert Friedberg. In May it bought out Falconbridge's option to earn 65% of Kerr-Sulphurets for 200,000 shares and up to 2.0 million conditional warrants, taking the project back to 100%.
Drilling of the Mitchell zone followed. By November 2006 it looked like a gold-copper porphyry, and in May 2007 the company filed a technical report on it. Hole M-07-35 ran 682 metres from surface at 0.92 g/t gold and 0.24% copper. In early 2008 the company produced first estimates for the Kerr and Sulphurets zones, and more than 55% of Mitchell's gold moved into the indicated category, a step that makes a deposit easier to finance.
2008-2010: Selling Noche Buena, sizing KSM
In October 2008 Seabridge agreed to sell Noche Buena to the Fresnillo-Newmont joint venture for US$25 million in cash plus US$5 million if commercial production ever began. The sale closed in December, paying for feasibility work at KSM and Courageous Lake without issuing shares. The first KSM economic study that month described a 30-year mine recovering over 19 million ounces of gold at US$233 an ounce in total cost. In June 2009 Seabridge agreed to sell Red Mountain to BonTerra Resources for C$12 million, and an updated study in July cut initial capital by 10%. In January 2010 measured and indicated resources rose to 38.9 million ounces of gold, with Mitchell alone at 33.7 million, which the company called the largest gold deposit ever found in Canada.
2011-2013: Royal Gold, redesign and permitting
The 2011 prefeasibility study put reserves at 38.5 million ounces of gold and 10 billion pounds of copper. In June 2011 Royal Gold bought 1,019,000 shares at C$29.44 for C$30 million, and took an option over a 1.25% gold and silver royalty on KSM for a further C$100 million, exercisable only once the project is permitted and financed.
A panel-cave underground design, plus feedback from the Nisga'a Nation, pushed the permit application back to 2012. Resources reached 49.0 million ounces of gold in February 2012, and a preliminary feasibility study followed that year. At Courageous Lake, resources rose 18% to 7.97 million ounces and a 6.5 million ounce reserve was reported; the Walsh Lake high-grade discovery came in September 2012. In October 2012 a contractor surveyor was killed in an avalanche near the Sulphurets Creek camp.
In November 2012 a $24.0 million flow-through raise (shares sold at a premium, with the cash to be spent on exploration) was priced at $21.85. The application was filed in February 2013, 41 volumes and over 30,000 pages, and an agreement in principle with the Nisga'a followed in August. Deep Kerr was confirmed as a discovery, with 23,802 metres drilled in 2013. A December flow-through raise brought $16.8 million at $11.17.
2014-2017: New discoveries, falling prices
In 2014 Seabridge published first resources for Walsh Lake (482,000 ounces) and Deep Kerr (515 million tonnes inferred). A $13.8 million flow-through raise at $12.00 followed in July, and Iron Cap Lower Zone was confirmed as a second major discovery in September. By March 2015 Deep Kerr had grown 52% to 8.2 million ounces of gold and 9.3 billion pounds of copper, and Iron Cap Lower Zone had a first inferred resource of 164 million tonnes, all in the lowest confidence category.
Funding got more expensive: $16.4 million at $10.17 in April 2015, then $14.6 million at $8.10 in November, mostly from Friedberg's FCMI. Prices recovered in 2016, with C$24.08 flow-through shares, and the 2016 prefeasibility update kept a 53-year mine at US$673 an ounce total cost. In March 2017 two bought deals raised $14.3 million at $14.30 plus $20.0 million of flow-through shares. The record is then quiet until 2020; shares on issue rose from 57.7 million at the end of 2017 to 63.5 million at the end of 2019.
2020-2024: Bigger studies, new funding
An April 2020 assessment lifted KSM's after-tax value from US$3.4 billion to US$6.0 billion, but the Ontario Securities Commission made Seabridge refile the technical report in November without it, keeping the 2016 study on which the environmental approvals rest. In December 2020 a US$105 million bought deal sold 6,100,000 shares at US$17.25; shares on issue stood at 74.2 million at the end of 2020. At-the-market programmes (selling shares gradually into the market) of up to US$75 million followed in 2021 and US$100 million in 2023.
In March 2022 KSM Mining ULC sold a US$225 million secured note to Sprott and Ontario Teachers', exchangeable at maturity for a 60% gross silver royalty, a large funding that did not issue shares. It also signed a facilities agreement with BC Hydro. The 2022 prefeasibility study moved to an all open-pit mine, with gold reserves up 22% to 47.3 million ounces, initial capital of US$6.4 billion and after-tax value of US$7.9 billion. In May 2023 Sprott agreed to pay US$150 million for a 1.2% net smelter royalty. In April 2024 a Courageous Lake study cut reserves to 2.8 million ounces but improved the economics, and in July British Columbia granted KSM a 'substantially started' designation, keeping its environmental certificate valid for the life of the project.
2025-2026: Positioning KSM, splitting off Courageous Lake
In January 2025 Seabridge renewed its at-the-market programme for US$100 million. In February it raised US$100 million: US$80 million from a bought deal of 6,540,000 shares at US$12.25 and US$20 million from an unnamed strategic investor. The money was to pay BC Hydro for the KSM switching station, finish field data collection and start value engineering for a bankable feasibility study. Seabridge said it had committed about $150 million of work at KSM for 2025 and was positioning the project for a future partnership. Shares on issue stood at 91.9 million at the end of 2024.
On 28 April 2026 the company called a special meeting for 22 May 2026 to vote on moving Courageous Lake into a new listed company, Valor Gold Corp, with shareholders receiving Valor shares pro rata. Seabridge would keep only KSM. At that date no construction decision had been taken at KSM, and the board recommended the split.
