History
Renergen listed on the ASX in 2019, spent years building South Africa's first commercial LNG and helium plant at Virginia, then was acquired by ASP Isotopes in January 2026.
2019-2020: Listing and the sandstone discovery
Renergen joined the ASX on 6 June 2019, raising A$10 million by issuing 12.5 million CDIs (ASX-traded certificates representing shares) at $0.80, on top of 100.1 million existing shares. The money went to wells and a helium study at the Virginia project, held through Tetra4, then 90% owned. In August 2019 it signed a US$40 million loan with US agency OPIC and appointed EPCM Bonisana to build the gas gathering pipeline. In October a Chinese firm, Western Shell, won the contract to supply the LNG and liquid helium plant, targeted for the first half of 2021.
In December 2019 a horizontal well hit gas-charged sandstone with 12% helium, a new discovery outside existing reserves. Renergen also bought the remaining 10% of Tetra4 for a net R23 million, giving it all of the project. To refill cash, a January 2020 placement was scaled back to 4,791,667 CDIs at A$1.20, raising A$5.75 million. Drilling then struggled: the horizontal well had water problems, and the first inclined well was abandoned in September 2020 after a drill string rupture, at no cost to Renergen because it was drilled turnkey. The plant date slipped to around Q3 2021.
2021-2022: Wells, reserves and a patient wait
In 2021 Renergen began Phase 2 planning, hiring Saipem and Sproule. Exploration wells found gas at P007 and MDR1, and by July five of six planned wells had succeeded. CFO Fulufhedzani Ravele resigned in April and Brian Harvey replaced him from 1 May. A June placement of 5,631,787 new shares raised about A$10 million. Conditional helium sales deals with iSi, Linde, Messer and Helium24 covered about 65% of Phase 2 output, and Consol Glass signed a five-year LNG deal. In November Sproule lifted 1P helium reserves 620% to 7.2 Bcf. Dr David King became chairman from 1 December.
In March 2022 Ivanhoe Mines bought 5,631,787 shares for R200.6 million (a 4.35% stake), with options to go higher; these lapsed in July when conditions were not met. A Central Energy Fund (CEF) term sheet offered R1bn for 10% of Tetra4. Natural gas entered the plant on 8 July, and by 5 September it was operating as South Africa's first commercial LNG plant. A conduction oil fault shut it in October, was repaired, and LNG deliveries began in November. A November placement of 4,365,670 shares raised R107.6 million.
2023-2024: Helium delays and funding
First liquid helium came on 23 January 2023. A February placement of 4.6 million shares at R24.00 raised about R110 million. In June the US DFC approved a US$500 million loan and Standard Bank US$250 million for Phase 2, conditional on enough equity. ASX suspended trading on 1 June 2023 because the annual report was late. A helium cold box leak caused further delay, though LNG output rose 88% to 1,564 tons in the quarter to August, and Phase 2 environmental approval arrived.
In December 2023 Mahlako Gas Energy agreed to pay R550 million for 5.5% of Tetra4, completed in February 2024. SOL's Airsol took US$7 million of convertible debentures, which convert on a Nasdaq IPO. A compressor problem extended a maintenance outage in early 2024. FY2024 revenue was R29.0 million with a loss of 75.10 cents per share, and BDO flagged material uncertainty on going concern. The helium train was fully operational from 19 July 2024.
2025: First sale, legal wins and a takeover
In January 2025 Renergen issued 7,376,433 shares at R5.33, taking shares to 155,047,410, for Phase 1C and working capital. The first helium sale was collected on 13-14 March, using small Dewars (insulated flasks) after problems with large containers. On 2 May the High Court ruled no NERSA licence was needed, and the Minister dismissed Springbok Solar's appeal over helium rights. In September the Springbok dispute settled with a coexistence agreement.
On 21 May Renergen agreed an all-share scheme with Nasdaq-listed ASP Isotopes at 0.09196 ASPI shares per share, replacing the planned Nasdaq IPO. Shareholders approved on 10 July. The He4u consortium was named preferred Phase 2 EPC bidder in June. In July Mahlako gave notice of a put option to force a repurchase of its stake; Renergen disputed this.
2025-2026: Delisting
All scheme conditions were met by 18 December, and the scheme was implemented on 6 January 2026. ASX removed Renergen from its list on 12 January 2026. At that date the ASPI loan repayment date had been extended to 30 January 2026, BDO had again flagged going-concern uncertainty, and the Mahlako dispute, Phase 2 funding, the CEF R1bn deal and the Phase 2 appeal remained open.
