History
Orla built Camino Rojo into a gold producer, bought its way into Nevada with shares and Ontario with debt rather than new shares, and was taken over by Equinox Gold in July 2026.
2021-2022: Building the first mine
Orla began 2021 with Camino Rojo in Mexico already under construction and Cerro Quema in Panama on the shelf. In January an updated feasibility study put Camino Rojo at 67.4 million tonnes of ore, 980,000 recoverable ounces over 10.4 years, for US$134 million of initial capital. In July the company raised US$35 million by issuing 9,085,263 shares at C$4.75 to fund construction, work at Cerro Quema and studies on the deeper sulphide rock. Pierre Lassonde, Agnico Eagle and Trinity Capital Partners were among the buyers.
Cerro Quema got a pre-feasibility study in July: a second heap-leach mine with 489,000 recoverable ounces and US$164 million of capital. No construction decision was taken, and none appears later in the record. In December a first resource for the Caballito copper-gold deposit nearby was added. First gold was poured at Camino Rojo on 13 December 2021, on schedule, and commercial production was declared from 1 April 2022.
2022-2023: Nevada and a steady producer
In June 2022 Orla agreed to buy Gold Standard Ventures, paying 0.1193 Orla shares plus C$0.0001 per share, about C$242 million. The prize was South Railroad, an open-pit heap-leach project on Nevada's Carlin trend. The deal closed in August, taking Orla into a third country, and shares on issue ended 2022 at about 306 million, up from 248 million.
The first full year of production, 2022, delivered 109,596 ounces, at the high end of guidance that had been raised during the year. Cash was US$96.6 million at year end, after the third US$15 million payment to Fresnillo under the Camino Rojo layback agreement and a first US$5.6 million debt repayment. Drilling below the oxide pit kept finding gold over real widths, such as 4.66 grams a tonne over 64 metres, and in August 2023 the company swapped its term loan and revolver for a single US$150 million revolving facility running to August 2027.
2024: Beating guidance and clearing debt
2023 production reached 121,877 ounces, again above raised guidance. Debt fell US$58.9 million to US$88.4 million, and the last US$22.8 million Fresnillo instalment was paid. Drilling in 2023 and early 2024 tightened up the sulphide body and found a new base-metal style of mineralisation 450 metres down-plunge. Drilling in Nevada found oxide gold outside the planned pits, and an expansion of the Nevada ground through the Contact Gold deal was planned. In October 2024 Orla repaid its last US$58.4 million and was debt free with about US$120 million of cash. Production for the year was a record 136,748 ounces.
2024-2025: Musselwhite
In November 2024 Orla agreed to buy the Musselwhite underground mine in Ontario from Newmont for US$810 million cash plus up to US$40 million tied to the gold price, its biggest step and first underground operation. The purchase completed in early 2025 and was paid for with a US$250 million credit facility, a US$360 million gold pre-payment facility and US$200 million of convertible notes, with no upfront share issue. A company debt free four months earlier now carried well over half a billion dollars of obligations.
A US$25 million drilling program began in April 2025. By October it had confirmed the mine trend 1.6 kilometres from current workings, and in December extended it to two kilometres down-plunge, the extension on which the purchase case rested.
2025-2026: Underground at Camino Rojo and a first dividend
In June 2025 Orla published a first underground resource for Camino Rojo: 50.1 million tonnes at 2.45 grams of gold, or 3.95 million ounces, far larger than the oxide mine above it. A February 2026 preliminary economic assessment outlined a standalone underground mine averaging 215,000 ounces a year over ten years. A pre-feasibility study was planned for 2027, and in March 2026 Mexico approved the environmental assessment, allowing the rest of the oxide pit to be mined and an exploration decline to be started.
In December 2025 Orla declared its first dividend, US$0.015 a share quarterly. In January 2026 an optimised feasibility study for South Railroad showed a US$783 million present value and US$395 million of capital, with construction to be funded from cash flow once permits arrived, targeted for mid-2026.
2026: Taken over by Equinox
Under an arrangement agreement signed on 12 May 2026, Equinox Gold agreed to acquire Orla. The record does not include the agreement itself. A shareholder vote was scheduled for 22 July, and the British Columbia court gave its final order on 29 July. The deal closed on 31 July 2026, with each Orla share becoming one Equinox share plus US$0.0001 in cash, so holders kept equity in the larger company. Orla ceased trading in its own right. The combined company targets about 1.1 million ounces of gold a year, and Orla chairman Chuck Jeannes became its chairman.
