History
Oasis Midstream Partners listed in 2017 to hold Oasis Petroleum's Williston Basin pipelines, bought out its sponsor's remaining stakes, then merged into Crestwood in February 2022.
2017-2018: Listing and first dropdown
Oasis Midstream Partners LP came to the public market in September 2017. The New York Stock Exchange cleared its securities for listing, and the partnership sold 7,500,000 common units at $17 each in its IPO, with an option for up to 1,125,000 more. The offering closed on September 25, 2017 and raised about $115.7 million net. Nearly all of it, about $113.9 million, went to Oasis Petroleum as a cash distribution, with about $1.9 million going to fees on a new revolving credit facility.
In return, Oasis Petroleum contributed 100% of Bighorn DevCo, 10% of Bobcat DevCo and 40% of Beartooth DevCo, which are Williston Basin midstream assets. It received 5,125,000 common units and 13,750,000 subordinated units. The partnership also signed an omnibus agreement, which gave it a right of first offer on Oasis's retained interests and future midstream assets, and 15-year service agreements with Oasis subsidiaries. From the start, the partnership depended on Oasis as both sponsor and customer.
In November 2018 it used that right. It agreed to buy a further 15% of Bobcat DevCo and 30% of Beartooth DevCo for $250 million, and the deal closed on November 19, 2018. Payment was 3,950,000 common units plus $171 million in cash. The partnership then owned 25% of Bobcat DevCo and 70% of Beartooth DevCo.
2019-2020: Funding expansion
In February 2019 the partnership agreed to fund up to $80 million of Bobcat DevCo's 2019 expansion spending that Oasis Petroleum would otherwise have had to contribute. This meant it put in more than its 25% ownership share. The filing does not say what it received in return. In December 2019 the record shows exchange listing notices for the partnership's securities, but the beats give no further detail. Beyond this the record for 2020 is quiet.
2021: Buying out the sponsor
On March 22, 2021 the partnership agreed to buy the rest of Bobcat DevCo (64.7%) and 30% of Beartooth DevCo from Oasis Petroleum's subsidiary, which would leave it owning both outright. The independent conflicts committee approved the deal. The price was cash plus 12,949,644 new common units, and the general partner's incentive distribution rights were cancelled and converted into 1,850,356 common units. These new units help explain why units outstanding rose from 33,811,366 at the end of 2020 to 48,627,680 at the end of 2021.
The deal closed on March 30, 2021 with cash of $231.5 million. To pay for it, the partnership issued $450 million of 8.00% senior unsecured notes due April 1, 2029, raising about $440.0 million net. About $205.5 million of that was used to repay credit facility borrowings. The filings noted that Oasis Petroleum remained the largest customer and the source of substantially all revenue.
2021-2022: Merger into Crestwood
On October 25, 2021 the partnership agreed to merge into Crestwood Equity Partners LP. Public unitholders were to receive 0.8700 Crestwood units per unit. Oasis Petroleum's units converted at 0.7680, except 6,520,944 units that became $150 million in cash. The general partner interest was bought for $10 million. A $40 million termination fee could have been owed in certain circumstances. Based on Crestwood's $30.32 price on October 25, the filing put the equity value at about $1.2 billion.
Oasis Petroleum, which held about 69.6% of the units, could approve the deal by itself. The consent solicitation closed on January 29, 2022 with 38,753,495 units in favour and 415,654 against.
The merger closed on February 1, 2022. The partnership then merged into Crestwood Midstream Partners LP, which took over the 8.000% notes due 2029. The revolving credit facility and the omnibus and services agreements were terminated, and a Master Amendment changed the Oasis commercial agreements. On February 17, 2022 the partnership ended its registration of its securities. As of February 4, 2022 it was no longer a separate listed company.
