History
A former consulting shell turned Nevada gold explorer sold its Lapon Canyon stake in 2017, then rebuilt its position and by 2026 was drilling a promising monzonite-hosted discovery there.
2015-2017: From shell to explorer
The company began as Tech Foundry Ventures, a management-consulting shell. In December 2015 it paid $65,000 for Nevada Canyon Gold Corporation's rights to an exploration deal on the Lapon Canyon gold property near Yerington, Nevada, held through Walker River Resources. It was a related-party deal, since Jeffrey Cocks was an officer and director of both companies. In June 2016 it completed a $375,000 private placement and used the money to fund the Lapon Canyon option, formally moving the business toward mineral exploration.
In July 2017 it sold its 30% interest in the project to Walker River in exchange for 9.1 million Walker River shares plus warrants for 11.9 million more. That turned a direct project stake into a holding in the property's owner.
2018-2021: A quiet stretch and tight cash
The record is quiet for the next several years, and the share count sat at 44,550,000 through 2018. In September 2021 the company began raising up to $1 million through convertible notes (loans that can turn into shares) paying 15% interest, convertible at $0.375 a share or at a 25% discount to a future qualified offering. These were costly, dilutive terms.
In December 2021 two founders cancelled 1.775 million shares back to the company, which then issued 6.005 million new shares to its directors and an officer for just $600.50 in total. The shares on issue rose from about 4.5 million to 8.7 million over 2021.
2022-2024: Rebuilding through royalties
The beats record little in 2022 and 2023. In 2024 the company turned to royalties, which are payments based on a project's output. In August it exercised its option to buy out Target Minerals' full 1% Olinghouse royalty for $1.74 million in cash, below the original terms of $2 million or 2 million shares set in 2021. In October it signed a $25 million equity line with an institutional investor, letting it sell stock at its own discretion at 95% of market price, with no obligation to draw on it.
2025-2026: Back to Lapon Canyon
In February 2025 the company signed an earn-in agreement with Walker River, giving it the right to earn back a direct 50% interest in Lapon Canyon by funding $5 million of exploration over three years. This reversed the 2017 sale.
Drilling followed. In October 2025 the first assays showed 2.35 g/t gold over 45.7 metres, and mineralisation extended into new rock types south and east of the known Hotspot zone. A second batch included 21.8 g/t over 4.6 metres within 86.9 metres at 2.17 g/t. In December results of 3.05 g/t over 53.3 metres came with a discovery of gold in monzonite rock, raising the possibility of a larger gold-copper system. About $1.4 million of the $5 million commitment had been spent by then.
Final results from the completed 2025 program, reported on 25 February 2026, included the project's best hole yet: 3.79 g/t gold over 85.34 metres. At that date the company was working toward a first formal resource estimate targeted for the end of 2026, with about 28.6 million shares on issue.
