Privately exchanged about $142 million of its 2026 green convertible notes for roughly $115 million of the newer 2030 notes, trimming total debt principal while pushing the maturity further out.
Completed a $747.5 million offering of 3.00% Convertible Senior Notes due 2030, with net proceeds of about $731.1 million. It planned to use them for capped calls, repurchasing about 12.3 million shares, buying back $400 million of its 2026 notes, and general purposes.

Petitioned the Delaware Court of Chancery to validate a 2020 charter amendment that had increased authorized shares, after determining it may not have received the separate class vote Delaware law requires — creating legal uncertainty over shares issued under it since.
Its subsidiary signed a two-year offtake agreement, extendable by one year at the company's option, making Shenghe Resources (Singapore) the exclusive China distributor of its rare earth concentrate on a take-or-pay basis. Completed a $690 million offering of 0.25% Green Convertible Senior Notes due 2026, raising about $672 million net to fund expansion of its rare-earth processing operations.
Filed the full post-merger 'Form 10-equivalent' disclosure required because the SPAC had been a shell company, and engaged KPMG as the new operating company's independent auditor, replacing Withum, Fortress Value's former auditor.
Completed the merger: Fortress Value Acquisition Corp formally became MP Materials Corp., with the combined company's stock beginning to trade on the NYSE under ticker MP.
The amendment set 12 October 2020 as the record date and put the trust at about $345.07 million. It also disclosed that the JHL Capital Group holding entities would distribute units to James Litinsky personally, or to entities he controls, before closing, so that he would hold the resulting Class A shares directly.
The amendment narrowed the exclusive-forum clause holders would live under, carving out any claim arising under the federal securities laws rather than only claims under the Securities Act and Exchange Act, and set out the pro forma effect of paying off MP Mine Operations' existing secured and unsecured notes and of the earnout shares owed to Secure Natural Resources' unitholders.
Fortress Value Acquisition, a blank-cheque company that had raised $345 million in May 2020, registered the shares for its combination with MP Mine Operations and Secure Natural Resources -- the owners of the Mountain Pass rare earth mine and processing plant in California, the only integrated facility of its kind in the western hemisphere, run by about 250 people. The structure runs through a pre-closing reorganisation and two pairs of consecutive mergers, leaving both companies as indirect subsidiaries.
Amended the pending merger agreement on a technical basis: waived a pre-closing title-opinion requirement and tightened the conditions under which post-merger earnout shares would vest.
Fortress Value Acquisition Corp agreed to merge with MP Mine Operations (owner of the Mountain Pass rare-earth mine) and Secure Natural Resources, taking the renamed MP Materials public via SPAC merger.
Follow-up filing on the same IPO, adding the audited post-closing balance sheet and the breakdown of trust-account funding, including an $8.9 million private warrant placement to the sponsor.
Fortress Value Acquisition Corp, the blank-check company that would go on to take MP Materials public, completed its IPO, selling 34,500,000 units at $10 each for $345 million in gross proceeds.
