History
A dormant shell that once held a Chinese conglomerate became a copper-molybdenum explorer in 2023, funded by small dilutive raisings before a NYSE American listing in July 2026.
2010-2022: A shell with two earlier lives
The registrant's early history has nothing to do with mining. On 7 October 2010, as G2 Ventures, Inc., it completed a reverse merger (a private business taking over a listed shell) with Dynamic Elite International, parent of the Tianjin-based Joway Group, a Chinese health-products, decoration-engineering and import/export business. Its shares on issue stayed almost unchanged at about 20 million through 2022, and the record for the following decade is quiet.
On 25 November 2020, by then trading over-the-counter as Joway Health Industries, it agreed to sell Dynamic Elite back for just $119,070 in cash, to be distributed to shareholders. The sale completed on 7 January 2021, and the company became a shell again.
2023-2025: Becoming Idaho Copper
On 27 January 2023 the shell, by then based in Boise, Idaho, completed a share exchange with International CuMo Mining Corporation and its shareholders. This gave it its current business, the CuMo project, a molybdenum-copper-silver deposit near Boise. It was renamed Idaho Copper Corporation shortly after. Shares on issue rose from about 20 million at the end of 2022 to about 215 million at the end of 2023, though the beats do not itemise this jump beyond the share exchange.
Funding came in small, structured pieces. In January 2024 the company created a Series A convertible preferred stock, each share convertible into 50,000 common shares, and sold the first 19 units with three-year warrants struck at $0.24. The round closed on 5 March 2024 with 23 investors contributing $1,692,000, placed by Newbridge Securities for a 10% commission. Share numbers kept climbing, reaching about 257 million by the end of 2024 and about 277 million by the end of 2025.
On 22 August 2025 the company simplified control of CuMo's land. Its joint-venture partner, Multi-Metal Development Company, assigned all its rights and obligations to Idaho Copper, leaving the company an option, not an obligation, to buy the remaining claims and a net smelter royalty for $500,000 in cash plus $1.5 million of its own stock.
2026: Listing in New York
On 23 April 2026 the company closed a $1.36 million private offering of convertible notes, convertible at the lower of $6.00 a share or 70% of a future offering price, with warrants struck at $7.50. It was bridge financing ahead of a planned NYSE American listing. The year-end 2026 share count of about 18.8 million is far lower than the earlier figures, but the beats do not explain the change.
On 1 July 2026 the exchange certified the company's securities for listing. On 2 July it priced an underwritten public offering led by ThinkEquity under the ticker COPR, expected to raise about $16 million after costs. The money is earmarked for an updated Preliminary Economic Assessment and the first phase of a Prefeasibility Study for CuMo. As of that date, Idaho Copper was a newly listed company with CuMo as its sole project.
