On April 2, 2008 Eagle Rock agreed to buy Stanolind Oil and Gas Corp., which has Permian Basin oil and gas properties in Texas, for $79 million cash, with closing expected April 30, 2008. The filing cites an estimated 290 producing wells, 850 Boe/d of net production and 6.7 MMBoe of proved reserves, and expects about $15.3 million of annual adjusted EBITDA. The seller is owned mostly by NGP funds that also control Eagle Rock's general partner, so the independent Conflicts Committee reviewed the deal and found it fair to public unitholders. Funding is from cash from operations and the existing revolver. This continues the upstream expansion and the NGP conflict-of-interest thread.

On December 13, 2007 Eagle Rock replaced its $600 million credit facility (Goldman Sachs Credit Partners as agent, due August 31, 2011) with a new $800 million facility led by Wachovia Bank, due December 13, 2012. Initial availability is $724 million under its covenants, it can be raised to $1 billion, and it is secured by liens on substantially all assets. Interest is LIBOR plus 1.25% to 2.00%. Borrowings at the start were used to repay the old facility, with no increase in debt outstanding and no early termination penalty. This fills the earlier gap on debt facility details.
