History
Diversified Energy moved its home from the UK to Delaware, then used bonds, bank borrowings and a Carlyle partnership to close two large well purchases and agree a third in under a year.
2023-2025: Listing and a change of home
The record for these years is thin. In December 2023 the exchange certified Diversified Energy Co's securities for listing, clearing them to begin trading.
The next beat came in November 2025, when the company changed its legal home. Through a UK court-sanctioned scheme of arrangement, it moved from a UK-incorporated PLC to a Delaware holding company, and each old share was swapped one-for-one for new US common stock. This was a structural move, not an operational one. The exchange filed to remove a class of the company's securities from listing, and in early December 2025 the company deregistered its securities, ending its duty to file reports with the SEC.
2025-2026: Buying Canvas and raising debt
Diversified describes itself as a roll-up of mature oil and gas wells, growing by buying packages of them. Days after redomiciling, on 26 November 2025, it closed the purchase of Canvas Energy, announced in September 2025, for about $495 million in cash plus 3.72 million shares. Shares on issue rose from 50,649,844 at the end of 2024 to 76,979,625 at the end of 2025, though the beats explain only the Canvas shares as part of that.
In February 2026 its subsidiary DGOC raised another $200 million by tapping its Nordic-market senior secured bonds due 2029, at 9.75%. This added to the $300 million issued under the same program in April 2025.
2026: East Texas, EIG and Camino
In March 2026 Diversified agreed to buy wells across five East Texas counties from Sheridan Holding Company III for about $248 million, funded from its revolving credit facility (a bank borrowing line it can draw on). The deal closed on 1 May 2026.
In between, longtime institutional holder EIG Global Energy Partners sold 7.5 million shares in a secondary offering. Diversified repurchased half of them at the same price, which kept those shares off the open market.
On 12 May 2026 Diversified agreed to buy Camino Natural Resources' Oklahoma assets for $1.175 billion. Carlyle Global Credit is funding 60% of the developed-asset purchase price through a new joint venture in exchange for a 60% stake, leaving Diversified with 40%.
2026: Refinancing and where it stood
On 19 May 2026 a Diversified subsidiary issued $850 million of asset-backed notes (debt secured on well cash flows) at 6.0-6.9%. The money was used to redeem older notes costing 7.5-12.4%, cutting the company's cost of debt.
On 6 July 2026 the Carlyle/Diversified joint venture issued $895 million of asset-backed notes to help fund the Camino purchase. As of that date, the Camino deal was still pending, with closing expected in the third quarter of 2026. Diversified was a Delaware-incorporated company with Canvas and the East Texas wells added, and a large Oklahoma purchase still to complete.
