Contango ORE completed its merger of equals with Dolly Varden Silver and renamed itself "Contango Silver & Gold Inc.": former Dolly Varden holders now own about 50% of the combined company, Dolly Varden's Shawn Khunkhun becomes President while Rick Van Nieuwenhuyse stays CEO, Clynton Nauman becomes Chairman (Brad Juneau stepping down from that role but remaining a director), and the company adds Dolly Varden's Kitsault Valley silver project to its Alaska gold portfolio.
Contango ORE filed the final proxy statement for the Dolly Varden merger and set a special shareholder meeting for March 17, 2026 (record date February 2, 2026). The three proposals are unchanged from the draft: issuing shares to Dolly Varden holders at 0.1652 per share, raising authorized shares from 45,000,000 to 250,000,000, and a 2026 Omnibus Incentive Plan. The board unanimously recommends voting for all three. This fills in the dates left blank in the January draft.

Contango ORE filed a preliminary (draft) proxy statement asking its shareholders to vote on the December 2025 Dolly Varden Silver deal. Dolly Varden holders would receive 0.1652 of a Contango share per Dolly Varden share, leaving each group with about 50% of the combined company. Shareholders would also vote to raise authorized shares from 45,000,000 to 250,000,000 and to approve a 2026 Omnibus Incentive Plan. The meeting date and record date are still blank, and the deal still needs court, regulatory and Dolly Varden shareholder approvals.

Proceeds were to advance Lucky Shot toward a mine production decision and Johnson Tract.
