History
An Australian Texas gas explorer that struck it rich with Eagle Ford oil, collapsed under convertible-note debt in 2016, and was rebuilt as Colorado helium producer Blue Star.
2006-2008: Drilling for gas in Texas
The company, then called Antares Energy, spent these years spreading money across Texas and Oklahoma gas prospects. The 2006 accounts showed a $5.5m profit, driven by the sale of a Turkish subsidiary, but $12.98m was written off after early Ellis wells in Oklahoma declined faster than expected. Results were mixed. Harrison-1 and Scott-2 at Oyster Creek became producers, Garcitas Ranch C-1 and C-2 flowed gas, and Outlar-1 at West Wharton began production in December 2007. Against that, Lonesome Dove-1, Zwernemann-1, Ilse-1 at New Taiton and the large Freeborn-1 prospect all failed or were suspended. The Oklahoma assets were sold for USD 4.35m, and $11.2m of convertible notes were issued. The board called 2007 a terrible year with a collapsed share price. It cut costs, shrank from five directors to three, and James Cruickshank succeeded Howard McLaughlin as managing director in July 2008. In August 2008 HEP Oil put in $2.4m at 10 cents a share.
2009-2010: The Eagle Ford discovery
The Stewart-1 sidetrack at West Wharton was dry in March 2009, and the company stopped spending there. The turn came at Yellow Rose. Antares lifted its stake to 75% and drilled Frances Dilworth No. 2, which found gas in the Edwards limestone and the Eagle Ford shale. The Edwards flow fell short of the company's own hurdle, so it drilled a horizontal Eagle Ford leg instead. The company also sold a term assignment to Petrohawk, keeping a back-in right after payout. It raised $10.0m at 25 cents in a placement and 16.89m more shares through a share purchase plan. It added acreage including Bluebonnet. The No. 2H well came in at 15.4 Mmcfe/d, beating the forecast of 11.4. Placements of $19.2m in February 2010 and $12.3m in June followed, and the No. 3H well flowed at 1,207 boe/d.
2010-2011: A USD 200m sale and a new start in the Permian
In August 2010 an unsolicited expression of interest led to a sale process. Shares were suspended from 27 October. On 29 November Chesapeake agreed to buy Yellow Rose and Bluebonnet for USD 200m, and Antares' share of USD 156.2m was received on 15 December. The 2010 profit was A$75.379m. The company bought back 20.5m shares and said no new shares were planned. It aimed to become an ASX top-10 oil and gas company by end-2011. It moved into the Permian Basin, buying Wolfberry acreage and a producing Howard County property for USD 62m. In October 2011 it signed a USD 200m Macquarie debt facility to fund drilling at Southern Star. The A$1.00 share price target for end-2011 was missed.
2012-2015: Permian growth, failed sales and mounting debt
Production rose, with May 2012 net output at 1,816 boepd. Southern Star was held by production in November 2012. 2012 revenue was A$26.5m and 2P reserves rose 96%. The company sold its Hawkville interests for USD 10m in 2013. It signed a USD 300m sale of all its Permian assets, then withdrew in February 2014 and funded development with more convertible notes, reaching 29.75m notes by June 2014. Lone Star's seven resolutions at a general meeting failed in July 2014. Southern Star was sold to Breitburn for USD 50m plus units, and the Macquarie debt was repaid to zero. In September 2015 it contracted to sell Northern Star and Big Star for about USD 250m, but ASX suspended the shares when the company would not name the buyer.
2015-2018: Collapse and recapitalisation
The sale did not close on 30 November 2015. Noteholders held redemption notices for 11.9m notes (A$23.8m), and cash fell to just over A$1m. The Wade Energy sale had still not completed, and a joint venture, a sale process and a proposed US$45m loan all failed to land. Pitcher Partners were appointed administrators on 28 April 2016, a day before a noteholder vote that fell short of the 75% needed. About A$47m of notes were unpaid. FTI Consulting replaced them in May. Creditors voted for a Deed of Company Arrangement in December 2016, with a recapitalisation proposal from Pager Partners. The deed took full effect on 23 March 2018 with a new board. Placements and a public offer raised about A$0.38m and A$1.65m, and shares resumed trading on 8 June 2018 with 331,000,017 shares on issue.
2019-2022: Pivot to helium
A failed Big Star workover in October 2018 left cash near A$0.8m. In 2019 Trent Spry joined and helium entered the strategy. The Percy Creek farm-in in Wyoming was terminated in November 2019 with no interest earned. The company leased helium acreage in Colorado, and in September 2019 shares were suspended after an ASX query: the soil samples had come from public land, not company leases. Repeated small placements funded leasing, and by December 2020 the company held about 215,000 gross acres. Placements of A$2.3m (June 2020) and A$6m (November 2020) had funded this, and A$15m at 5.6c followed in October 2021. Enterprise 16#1 was the first well, in February 2022. Water wells at Galactica/Pegasus and Voyager found helium, and Voyager received a maiden contingent resource in September 2022.
2023-2026: From Voyager setback to first helium
Blue Star signed an IACX plant agreement for Voyager and raised A$7m at 2.1c in October 2023. Voyager wells BBB #33 and Bolling #4 showed anomalously low flow, so development was paused in March 2024. Attention shifted to Galactica/Pegasus, where State 16 was a discovery. Helium One agreed to earn 50% by paying US$1.5m and funding six wells. Blue Star lifted its Serenity CO2 stake to 100%. The 2025 campaign was completed. Placements at 0.4c and 0.5c, then A$10.0m at 0.6c in March 2026, funded the work and lifted shares on issue to about 6.15 billion in 2026. The Pinon Canyon plant produced its first refined helium on 22 December 2025. A fixed-price offtake with a US industrial gases buyer began in June 2026, and the first trailer was sold on 14 July. CO2 sales targeted for the June 2026 quarter were not achieved. As of 31 August 2026, the offtake had been extended to 31 March 2027, and no helium revenue was reported for the June quarter.
