History
Atlas Energy Solutions simplified its structure after its 2023 IPO, bought a rival sand producer, then bet heavily on power generation, funded by shares, loans and convertible notes.
2023-2024: Tidying up and buying a rival
Atlas Energy Solutions listed through an IPO in 2023 with an "Up-C" structure, a layout in which founders hold a stake through non-economic Class B shares. In August 2023 it filed to collapse that arrangement, and the reorganization completed in early October 2023. New Atlas HoldCo Inc. renamed itself Atlas Energy Solutions Inc. and became the public parent. Class A shares were swapped one-for-one and the Class B shares were cancelled. This was an internal restructuring, not an acquisition. The year ended with 100,025,584 shares on issue.
In February 2024 Atlas agreed to buy the Permian Basin proppant (frac sand) production and logistics business of Hi-Crush Inc., a direct competitor, from its stockholders, led by Clearlake Capital. The deal closed on 5 March 2024 at $140.1 million cash, 9.7 million Atlas shares (about 8.8% of the company) and a $111.8 million seller note that could pay interest in cash or in kind. At the same time Atlas expanded its Bank of America credit facility from $75 million to $125 million and extended it to 2029. Shares on issue ended 2024 at 110,217,322.
2025-2026: The move into power
In January 2025 Atlas agreed to buy Moser Energy Systems, a natural-gas power generation and oilfield electrification business, for $180 million cash plus about 1.7 million shares. It was Atlas's first step into power generation. On 3 February it raised about $254.1 million net by selling 11.5 million shares, using the money to pay down debt, including part of the Hi-Crush seller note, and to help fund the Moser cash price. Executive Chairman Bud Brigham bought shares in the offering. The Moser deal closed on 24 February alongside a new $540 million term loan from Stonebriar Commercial Finance, at 9.51% interest and maturing in 2032. Shares on issue reached 124,111,436 by the end of 2025. In August 2025 the exchange certified Atlas's securities for listing.
The power business then grew quickly. In December 2025 Atlas formed a subsidiary, Galt Power Solutions, and financed about 240 megawatts of generation equipment through a sale-leaseback with Stonebriar, with advances of up to $385 million, guaranteed by the parent. In March 2026 a subsidiary signed a framework agreement with Caterpillar reserving about 1.4 gigawatts of equipment through 2030, with an initial purchase commitment of roughly $840 million.
On 9 April 2026 Atlas issued $450 million of 0.50% convertible senior notes due 2031, convertible at about $14.51 a share, a 30% premium to the last close. As of that date, Atlas was a sand producer committed to a large power-generation buildout, with 125,003,451 shares on issue in 2026.
