History
3D Oil raised $44m in 2007, sold West Seahorse after funding failed, then drilled Otway gas discoveries in 2025 but defaulted on cash calls and faces a buy-out.
2007-2009: Listing and the Drillsearch bid
3D Oil listed on the ASX on 22 May 2007 in an IPO raising $44m, paid in two instalments. The final 15c call, received in December 2007 from 98% of the 110m shares, brought in $16.23m. A further $7.02m placement at 52c followed in April 2008. Chairman Ian Gorman resigned through ill health, and Peter Willcox replaced him.
The money funded two wells from one location in 2008. West Seahorse-3 found an 8m oil column in the top Latrobe sand, but the other expected zones showed no moveable oil. Wardie-1 found only thin oil in poor-quality rock and was plugged and abandoned. West Seahorse became the focus, with an in-house estimate of 7.86 million barrels in August 2008, later raised to 8.7 million with independent consultants.
In January 2009 Drillsearch lined up holders of 19.9% of the shares and announced an all-scrip takeover at four of its shares per 3D Oil share. The board called it opportunistic and unanimously recommended rejection. Willcox stepped down during the bid. Drillsearch let the offer close on 9 June 2009 with 33.3% acceptances against a 50.1% minimum, citing 3D Oil's cash falling from $14.5m to $8.5m over the March quarter.
2009-2012: Searching for a partner
After the bid failed, 3D Oil began a formal search for a joint venture partner and promoted its Felix prospect in VIC/P57, which it said could hold 100 million barrels. Deadlines kept slipping. Gaffney Cline lifted West Seahorse's best-case recoverable oil to 9.2 million barrels in December 2010, and VIC/P57 was renewed in 2011, shrunk to about 483 sq km.
A non-binding deal with Canada's Oracle Energy for up to A$30m of drilling lapsed in February 2012. In July 2012 the company let its T/41P Bass Basin permit go. In August Hibiscus Petroleum of Malaysia signed conditional deals to fund up to A$27m for 50.1% of VIC/P57 and to take about 13% of 3D Oil at 6.6c a share.
2013-2014: West Seahorse and its sale
The Hibiscus deal completed in January 2013, with 30,963,000 shares issued to Hibiscus. Plans moved to an offshore platform using a rig bought for US$12m, and VIC/L31 was awarded in December 2013. An independent assessor lifted West Seahorse to 6.5 million barrels of 2P reserves in January 2014. In 2013 the company also won T/49P, a gas permit in the Otway Basin.
Then financing stalled, because project debt markets were challenging. 3D Oil restructured with Hibiscus and HiRex, and shareholders approved it in August 2014. It sold its 49.9% of West Seahorse for US$16m in total and its stake in VIC/P57 fell to 24.9%. Beach Energy paid A$3m for 20% of T/49P, later taking a further 10%. The Flanagan 3D seismic survey was completed in December 2014.
2015-2021: Sea Lion and a new set of permits
Sea Lion-1, carried to US$7.5m, was drilled in November 2015. Early hydrocarbon indications were reversed a day later, and the well was dry. Flanagan was estimated at 1.38 TCF of unrisked gas, but no partner was found. In 2016 cost cuts of over $600,000 a year followed, and Noel Newell became Acting Executive Chairman. Beach withdrew from T/49P in 2017, returning 3D Oil to 100%, and the company won WA-527-P in Western Australia.
In September 2018 it raised about A$3.0m at 11.5c, its first raising since 2008. It also won VIC/P74 in the Gippsland Basin, with Hibiscus taking 50%. In 2020 ConocoPhillips took 80% of T/49P for A$5m, a free seismic survey and a carry of up to US$30m on a well. The Sequoia survey ended in October 2021.
2022-2024: Otway drilling plans
In 2022 3D Oil won VIC/P79 in the Otway Basin and farmed out 80% to ConocoPhillips for US$3m plus a carry of up to US$35m on one well. It also took a gas storage licence in South Australia. The carry across both permits was about US$65m. The shares were suspended in March 2023 for a late report, and the company was renamed 3D Energi in November 2023. A $3.3m placement at 5c followed in February 2024. In 2024 it signed a gas sales right of first refusal with ConocoPhillips and applied to surrender VIC/P74 after studies found risks at Bigfin.
2025-2026: Gas found, then default
Korea National Oil Corporation took 29% of both Otway permits in September 2025, leaving 3D Energi at 20%. Placements of $9.4m at 11c in October and $14.5m at 14c in December paid for the program. Essington-1 found gas in two reservoirs, with CO2 of 2-4.5%. Charlemont-1 hit unexpected high-pressure gas and was declared a gas discovery with 16% CO2, then plugged and abandoned in January 2026.
Drilling costs ran well over budget. Shares were suspended from 22 January 2026, and the company did not pay about US$7.7m of cash calls. ConocoPhillips issued a buy-out notice on 17 March. On 1 September 2026 the expert valuer RISC valued the 20% VIC/P79 interest at US$19.8m, less the default claim, interest and a discount. ConocoPhillips had until 24 September 2026 to elect. 3D Energi said the value was materially too low and disputed the notices. Its half-year report was still unlodged and its shares remained suspended.
