Verde signed a binding term sheet with Australian firm C-Twelve for an exclusive US license to its proprietary biochar-asphalt binder technology, with a planned $300,000 sign-on fee and 1.5 million shares once a definitive agreement is signed, plus a joint demonstration planned at the Auburn University test track.
Verde hired international carbon-credit specialist GECA Environnement as a strategic advisor to help monetize carbon removal credits from its biochar work, on a $5,000-a-month retainer for six months.
Verde amended its March 2023 filing on the $675,888 that Champmark (the gold-mining subsidiary sold in April 2023) owed to Borneo Oil Corporation Sdn Bhd. On August 16, 2024 the debt was converted into 9,655,542 restricted shares at $0.07 each, issued to Borneo Oil Berhad as the creditor's nominee. This settles the debt in shares rather than cash and adds to the related-party Borneo group's holding.
Verde and Zym-Tec got real-world validation lined up: a 3-year testing agreement with Auburn University's National Center for Asphalt Technology to evaluate their sustainable pavement technology at its Alabama test track.
Days after its Green Carbon Industries plan fell apart, Verde signed up a new partner for the same idea: a Heads of Agreement with Zym-Tec Technologies to jointly develop biochar-based road and construction materials (soil stabilization, asphalt, concrete) in the US through a 50/50-owned venture, again with an eye toward a Nasdaq uplisting.

Verde Renewables hired a national biochar-carbon-removal certification specialist to pursue certification for biochar-enhanced asphalt, concrete and soil-stabilization products, paid 1 million shares - early groundwork for what becomes the company's road-construction licensing pivot.
Verde signed a memorandum of understanding with Australian biochar technology firm Green Carbon Industries and its founder Andre van Zyl to jointly pursue a North American biochar and "Biochar-Asphalt" road-material venture, with van Zyl set to become Verde's CTO. The deal is contingent on Verde raising at least $2 million and is tied to ambitions of moving from the OTC market up to Nasdaq; Verde also announced a carbon-credit certification partnership with Puro.earth.
Verde completed the sale of its gold-mining subsidiary Champmark to Jusra Mining Merapoh for 500,000 Malaysian Ringgit, closing the chapter on the gold-mining business it had spent a decade building and consolidating.
Verde agreed to buy 60% of Vata VM Synergy, a Malaysian green-technology and agricultural-waste composting company, for about 2.25 million Malaysian Ringgit - another piece of its post-mining renewables buildout.
Ahead of exiting the mining business, Verde settled Champmark's $675,888 debt to creditor Borneo Oil Corporation - another entity in the Borneo Oil group that is also one of Verde's largest shareholders - payable in cash or new shares at $0.07 each.
Verde agreed to sell its entire gold-mining subsidiary, Champmark, to Jusra Mining Merapoh for a modest 500,000 Malaysian Ringgit - formally exiting the gold mining business it had built since 2013 to focus entirely on renewable energy and sustainability.

Verde closed another long-pending renewables deal, acquiring Borneo Energy's biofraction plant assets and Catalytic Biofraction Process license for Sabah, Malaysia - agreed back in May 2021 - for about 167 million shares.
Verde amended its filing on the Bio Resources Limited deal (agreed May 2021, closed Oct 2022). On December 7, 2022 it agreed to convert the $20,355,000 of promissory notes owed to 17 lenders, including CEO Jack Wong, into 333,142,389 restricted shares at $0.0611 each, so the notes become shares rather than debt. This follows through on the January 2022 conversion agreement, which had left the issue date to be set later, and it dilutes existing shareholders.
Verde Renewables hired a business-development consultant to build out its business plan and marketing strategy, paying 750,000 shares over two tranches.
