On 2025-06-16 TMC agreed to sell 19,623,376 shares at $4.34 each, plus a three-year warrant for 6,868,181 shares at $7.00, to Korea Zinc for about $85.2 million gross. Korea Zinc gets a right to take part in future share offerings and a non-voting board observer, and is evaluating a bulk nodule sample from TMC USA, with interest in exploring US processing collaboration. This is much larger than the $37M May 2025 raise and adds a strategic partner; new shares and the warrant dilute existing holders.
What it means for a shareholder
19.6m new shares at US$4.34 to raise about US$85.2m. That's 5.3% dilution: every existing holder's slice gets 5.3% smaller. If you held US$1,000 of shares (230 at the issue price), your slice goes from 0.0000662% to 0.0000627% of the company. To keep it you'd need 13 more shares - about US$56 at the issue price.
